1. Introduction
Welcome to Proxen. These Terms and Conditions (“Terms”) govern your use of our website, located at https://proxen.ca, and any digital marketing, web design, app development, or SEO services provided by Proxen (“we,” “us,” or “our”).
By accessing our website or engaging our services, you accept and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.
2. Services Offered
Proxen provides a range of digital services, including but not limited to:
- Website Design and Development
- Custom Web and Mobile Application Development
- Search Engine Optimization (SEO) and Digital Marketing
- Branding and Identity Design
- E-commerce Solutions
The specific details, deliverables, timelines, and pricing for any service will be outlined in a separate Statement of Work (SOW) or service agreement signed by both parties.
3. Client Responsibilities
To ensure successful project delivery, the client agrees to:
- Provide accurate, complete, and timely information, feedback, and approvals required for the project.
- Supply necessary assets (text, images, branding materials, etc.) unless content creation is explicitly included in the SOW.
- Ensure they have the legal right to use any materials, logos, or content provided to Proxen.
Delays in client feedback or asset delivery may result in project timeline extensions and potential additional fees.
4. Payments and Billing
Payment terms will be specified in the individual service agreement or invoice. Standard payment terms include:
- A non-refundable deposit (typically 30% to 50%) is required before any work commences.
- Remaining balances are tied to project milestones or due upon project completion before the final product is launched or handed over.
- Late payments may incur interest charges at a rate of 1.5% per month on the outstanding balance.
All prices are quoted in Canadian Dollars (CAD) unless otherwise specified, and are exclusive of applicable taxes.
5. Intellectual Property
Upon full and final payment, Proxen transfers all rights and ownership of the final deliverables (e.g., custom website code, logo designs) to the client.
However, Proxen retains the right to:
- Use the completed project and design materials in our portfolio, case studies, and marketing materials.
- Retain ownership of pre-existing intellectual property, reusable code snippets, frameworks, and libraries used to build the solution, granting the client a non-exclusive license to use them.
6. Revisions and Modifications
We want you to be thrilled with the final result. Most projects include a specific number of revision rounds, as outlined in the SOW. Any changes requested beyond the agreed-upon scope or revisions will be billed at our standard hourly rate.
7. Warranties and Limitation of Liability
Proxen provides its services "as is" and without any warranties, express or implied, including but not limited to the implied warranties of merchantability or fitness for a particular purpose.
In no event shall Proxen, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising out of or related to your use of our services or deliverables.
Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to Proxen for the specific service giving rise to the claim.
8. Term and Termination
Either party may terminate a service agreement with written notice if the other party breaches a material term and fails to cure it within 14 days.
In the event of cancellation by the client before project completion, Proxen retains the initial deposit and reserves the right to bill for any work completed beyond the deposit amount up to the date of cancellation.
9. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
